Contract & Terms of Service

1. 📦 SUBSCRIPTION STRUCTURE

Studio374 provides digital marketing and Revenue System services on a subscription basis.

Services may include, but are not limited to:

  • Website development (MomentumSite24 or E-Commerce systems)

  • AI lead capture and engagement tools

  • Customer Relationship Management (CRM) access

  • Marketing automation systems

  • Advertising campaign support (if applicable)

Each service includes:

  • A one-time setup fee

  • A recurring monthly subscription fee

The subscription grants Client ongoing access to systems, hosting, support, and optimization services.

2. 💳 PAYMENT TERMS

  • All setup fees are due in full prior to project initiation

  • Monthly subscription fees are billed automatically every 30 days

  • Payments must be made via approved payment method on file

Late Payments:

  • A grace period of 5 days is provided

  • Services may be paused or restricted after 5 days of non-payment

  • Accounts 15+ days overdue may be subject to termination

All payments are non-refundable, including setup fees and monthly subscriptions.

3. ⏱ DELIVERY TIMELINES

Studio374 will make reasonable efforts to meet the following timelines:

  • MomentumSite24: Initial build within 24–48 hours after onboarding completion

  • E-Commerce Systems: Initial build within 5–7 business days

  • Revisions: Completed within a reasonable timeframe after client feedback

Delivery timelines are contingent upon:

  • Timely completion of onboarding materials

  • Availability of required client assets and information

Delays caused by the Client will extend project timelines accordingly.

4. 📋 CLIENT RESPONSIBILITIES

Client agrees to:

  • Provide accurate and complete business information

  • Complete onboarding forms and required documentation promptly

  • Supply content, branding assets, and login credentials when necessary

  • Review and approve deliverables in a timely manner

  • Maintain active communication throughout the project

Failure to meet these responsibilities may result in delays or limited performance outcomes.

5. ❌ CANCELLATION POLICY (30-DAY NOTICE)

Client may cancel services at any time with written notice of at least 30 days.

  • Services will remain active until the end of the billing cycle following notice

  • No refunds will be issued for unused time

  • All outstanding balances must be paid prior to termination

Studio374 reserves the right to terminate services for:

  • Non-payment

  • Breach of agreement

  • Misuse of services

6. ⚠️ NO GUARANTEES CLAUSE

Client acknowledges that:

  • Studio374 provides systems designed to improve lead generation and business performance

  • However, no specific results or financial outcomes are guaranteed

Results may vary based on:

  • Industry conditions

  • Market competition

  • Advertising investment

  • Client’s sales process and execution

Studio374 is not responsible for the Client’s revenue performance or business outcomes.

7. 🔐 OWNERSHIP & ACCESS

  • Client retains ownership of their business data and content

  • Studio374 retains ownership of proprietary systems, frameworks, and technologies

Access to systems (including CRM, hosting, AI tools, and automation platforms) is:

  • Provided during active subscription only

  • Subject to suspension or termination upon cancellation or non-payment

Upon termination:

  • Client may request export of available data within 14 days

  • Continued use of Studio374 systems is not permitted without an active subscription

8. ⚖️ LIABILITY LIMITATIONS

To the fullest extent permitted by law:

  • Studio374 shall not be liable for any indirect, incidental, or consequential damages

  • This includes, but is not limited to:

    • Loss of revenue

    • Loss of data

    • Business interruption

    • Third-party platform failures

Studio374’s total liability under this Agreement shall not exceed the total amount paid by Client in the preceding 30 days.
